Description

Groups of companies nowadays tend to centralise their internal organisation much more, with headquarter corporate services, cash pooling arrangements, shared service centres, group credit facilities, central IP and captive insurance companies, etc. What are the main legal challenges if a concern decides to divest or ‘carveout’ a subsidiary or a part of its operations and you are ‘Cuttin’ for the very first time”? What are the questions to be asked? How to ensure confidentiality? What is special about cross-border carveouts? How does this translate into the transaction documentation?
