Breakout session 8 – Letters of intent, memorandum of understanding and other preliminary agreements: dos and don’ts

Description

A discussion in relation to instruments that customarily initiate M&A processes, including an analysis of best practices and pitfalls. Discussion subjects will include: the effects of binding and nonbinding documents; competition considerations (triggering events for merger control); surviving clauses (non-disclosure, confidentiality and disputes); choice of law; diligence and clean team considerations; information exchange; and the importance of process letters.
